Terms of Service

By engaging Transcendent Digital Solutions, LLC ("Company," "we," "us") for digital marketing services, you ("Client") agree to the following Terms of Service ("Terms").

1. Services

The Company will provide the services as defined in a mutually agreed upon Statement of Work (SOW) or proposal. This document will outline the scope, deliverables, timelines, and fees for the project.

2. Payment Terms

Fees for services will be invoiced according to the SOW. Most services are billed as a monthly retainer, payable in advance. Payments are due upon receipt of the invoice. Failure to make timely payments may result in a suspension of services.

3. Client Responsibilities

The Client agrees to cooperate with the Company by providing necessary access to digital assets (e.g., website, ad accounts), brand guidelines, and any other information required to perform the services effectively and on schedule.

4. Confidentiality

Both parties agree not to disclose any confidential information of the other party to any third party. This includes business strategies, performance metrics, and client data. This obligation will survive the termination of our agreement.

5. Intellectual Property

The Client retains all rights to their pre-existing intellectual property. Work product created by the Company specifically for the Client under the SOW will be owned by the Client upon full and final payment for the services.

6. Limitation of Liability

The Company will perform all services with professional care and skill. However, we do not guarantee specific business outcomes or marketing results, as these are dependent on many factors outside our control. The Company's liability for any claim shall not exceed the amount paid by the Client for the services in the month during which the claim arose.

7. Termination

This agreement can be terminated by either party with 30 days' written notice. The Client is responsible for paying for all work completed up to the date of termination.
